Исследование посвящено идентификации факторов, влияющих на эффективность сделок слияний и поглощений. Предложено пять гипотез о результатах сделок и слияний на российском рынке. Разработана регрессивная модель определения эффективности на основе формулы краткосрочной эффективности. На основе анализа баз данных выявлено 30 сделок слияний и поглощений, отвечающих сформулированным требованиям, которые были совершены в семи отраслях, характеризующихся различными уровнями концентрации. Предложена теоретическая модель расчета величины эффективности сделки. Для целей учета отраслевой специфики, в частности, уровня концентрации, рассчитаны средние значения эффективности сделок слияний и поглощений для компаний-покупателей по отраслям. Выделены ключевые факторы, повлиявшие на краткосрочную эффективность сделок. Разработан комплекс рекомендаций по повышению эффективности процесса слияний и поглощений для российских компаний.
The study focuses on identification of factors affecting the efficiency of mergers and acquisitions. Proposed five hypotheses about the results of deals and mergers in the Russian market.
