Тема выпускной квалификационной работы: «Оценка эффективности сделок по слиянию и поглощению компаний». Данная работа посвящена исследованию особенностей сделок по слиянию и поглощению компаний (M&A), а таrже оценке эффективности таких сделок. Объект исследования – компании ООО «ШТРИХ-М Северо-Запад» и ООО «ЦТО Мастер» Предмет исследования – эффективность сделок слияния и поглощения компаний. Задачи, которые решались в ходе исследования: 1. Рассмотрение теоретических аспектов сделок M&A. 2. Изучение методологической базы оценки компаний и сделок M&A. 3. Обзор правового регулирования в России и за рубежом. 4. Выбор оптимального метода оценки сделки и практическое его применение. Работа проведена на базе исследованных компаний. Были проведены расчеты, показывающие их финансовое состояние до и после слияния. Проведен расчет стоимости этих компаний, и оценен экономический эффект от слияния. Оценка проводилась с помощью метода нечеткой логики и метода капитализации прибыли, который показал свою эффективность. В результате был проведен анализ компаний, рассчитана их рыночная стоимость методом чистых активов, проведена оценка синергетического эффекта. На основании проведенных исследований по компаниям ООО «ШТРИХ-М Северо-Запад» и ООО «ЦТО Мастер», были сделаны выводы о возможном успехе в случае их слияния. Данные компании, объединившись, будут функционировать эффективнее, чем по отдельности. Применение метода нечетких множеств к сделкам слияния составляет научную новизну работы.

The subject of the graduate qualification work is “Evaluation of the efficiency of merger and acquisition transactions” This work is devoted to the study of the features of mergers and acquisitions of companies (M&A), as well as the assessment of the effectiveness of such transactions. The object of research is the companies "SHTRIH-M North-West" and "CTO Master" The subject of the research is the effectiveness of mergers and acquisitions of companies. Tasks that were solved during the study: 1. Consideration of the theoretical aspects of M&A transactions. 2. Study of the methodological framework for evaluating companies and M&A transactions. 3. Review of legal regulation in Russia and abroad. 4. Choosing the optimal method for evaluating the transaction and its practical application. The work was carried out on the basis of the companies studied. Calculations were carried out showing their financial condition before and after the merger. The cost of these companies was calculated and the economic effect of the merger was estimated. The assessment was carried out using the fuzzy logic method and the profit capitalization method, which has shown its effectiveness. As a result, the companies were analyzed, their market value was calculated using the net assets method, and the synergy effect was assessed. Based on the studies carried out on the companies "SHTRIH-M North-West" and "CTO Master", conclusions were made about the possible success in the event of their merger. These companies, having united, will function more efficiently than separately. The application of the fuzzy set method to merger transactions is the scientific novelty of the work.
